Assignment Specifications Purpose: This assignment aims to reinforce and extend students’ knowledge and understanding of key topics in this course (HC1010) including: Overview of Accounting, Organisational Structure & the Reporting Environment, Statement of Financial Position, Statement of Financial Performance, Cash Flow Statement, Financial Statement Analysis, Accounting for Business Transactions, Cost Concepts & Behaviour, Preparation of Budgets, and Cost-Volume-Profit-Analysis through independent research and application of knowledge and skills. Assignment details: Knowing that you have some accounting experience, your friend David has sought your advice regarding a business that he intends purchasing. The balance sheet for the business shows total assets of $170 000 and total liabilities of $100 000, out of which $40 000 is a bank loan. A review of the business operations show that a considerable portion of the inventory is obsolete stock for which there is limited demand. Further, many of the accounts receivable are overdue by more than 60 days. The accounts receivable and inventory are carried at their gross amount and cost value respectively on the balance sheet. As you are an Accounting student, you have been asked to advise the following: a. Explain to David the form of organisation he can adopt for the business? Briefly discuss the advantages and disadvantages of each form of organisation. b. David has a very limited understanding of the terms Assets and Liabilities. Explain to David the three essential characteristics necessary to consider an item either as an asset or a liability. c. Group membership will need to be communicated to the local campus lecturer in writing by Lecture Session 4. To ensure that all students participate equitably in the group assignment and that students are responsible for the academic integrity of all components of the assignment. INTRODUCTION
In the given case, David wants to buy a business and for which he wants to get an idea about the business and its environment. He wants to know the options of the forms of the business organization that he could opt for running his business. The value of the accounts receivables of the business was highly overvalued and there was no provision created for any doubtful debts in the same. More so the value of the inventory contained some obsolete items and that increased the value of the net assets. Therefore David wants some experts to analyze the true value of the business.
FORMS OF ORGANIZATION
There are four forms of organization which David can adopt for the business:
· Sole proprietorship – business is wholly owned by one person the proprietor and hence the word sole. Advantages of adopting this are:
1. All the key decisions are made by the proprietor himself regarding the location where to set up the business, who he should hire and what to buy or sell, etc.
2. The proprietor is not legally bound to share his income as he becomes the sole recipient.
Disadvantages:
1. The owner is personally liable for all the debts and liabilities. As a result, in a lawsuit, the court can sue the owner and attach his personal properties to recover the debt.
2. One major disadvantage is that of perpetuity, i.e. if the owner dies, the company terminates. A partnership business may remove this disadvantage.
· Partnership- It is a separate entity where two or more persons collaborate to conduct business for profits. A partnership deed is to be formed to protect the interests and role of each partner in the business. The advantages to this are:
1. Limited liability partnerships are also set up which offer to protect the liabilities of the partners to a great extent.
2. Partnerships do not require to follow the action which belongs to companies on holding meetings annually and maintenance of minutes as well (Child, J., 2015). Therefore, it is somewhere easy to maintain as compared to a company.
3. Partnerships do not pay corporate taxes as the company. The taxes flow through the partners according to their interests in the business.
Disadvantages:
1. Partners individually become liable for other partner's deeds and wrongdoings.
2. Partners may have unlimited liability to pay of the debts of the company if it is not a limited liability...
