Hope you’ve had time to review the case file on The Turnip Plaza Hotel. In order to formulate a sound response to my questions, you’ll need to review a number of specific foundational issues involving legal contracts.

First, find the necessary information aboutcontract formation and execution. Then, look into possiblecontract remediesfor when a breach of contract occurs. As you read over this information, be sure to record your thoughts pertaining to the case, while noting the places in the readings that prompted your thoughts.

After you have refreshed your understanding of contract law generally, you should supplement that understanding by doinglegal researchon specific laws related to contracts in Michigan. Again, make sure to take notes as you read. Good notes will help you write your report.

Thinking over this case, put some of your focus on Edward Griffin's role in this situation with Mark Piper. More specifically, consider whether Edward had the authority to make the promise he made (or any promises) to Mark.

Review thelegal responsibilities of agents and employeesto help formulate your answer. You should also reviewethical business decision making, as it pertains to keeping promises in business situations and the ethical questions I have asked you to consider.

I trust you to perform with the same tenacity as you did with the first cases.

Thanks,

ou've finished your research and reflected on how the facts and the law come together in this situation. You've also analyzed the possible arguments and determined which seem most reasonable (all things considered). Now it is time to formulate them, making sure to address all the concerns that VP Dodger expressed to you when you met. Outline the report that you will draft for your VP and review your document to make certain it covers all relevant points and progresses in a logical order.

After you finish the outline, if you have time, give yourself one night of sleep before you begin the next step, in which you will write the report. Fresh eyes might help you see points that need revision.

Use your outline and research notes to prepare your report for the VP. Be sure to meet the following requirements he has requested:

  • Format your report by including APA-formatted in-text citations and an APA-formatted reference list (do not format the body of the report using APA style, just the reference list). Seereferences and citationsfor details.

  • Include a specific recommendation of what action, if any, the VP should take based on your analysis and conclusions.

  • Support your conclusion with references to legal principles and laws.

  • The report should be no more than 10 pages (double spaced, 12-point font; the reference list does not count towards page limit).

  • Title your file using this protocol: yourlastname_TurnipPlazaReport_date.

Submit your Turnip Plaza report to the submission dropbox located in the final step of this project. You should try to have this report complete by the end of Week 4.

In the next step, you will begin work on navigating some of the international legal challenges Colossal is facing.

Successfully completing the Turnip Plaza report, you’re ready to review your next assignment: theInternational Legal Challenges case file.

You open the file and read over the specifics of this situation. You soon see that VP Dodger is concerned about some of the risks involved with a number of Colossal’s international projects.

In the next step, you will gather the information you need to identify important issues for the VP.

While you have some general awareness that there are many ramifications of international transactions from a legal perspective, including dispute resolution provisions, you realize that you need to know a lot more about this subject before you can attempt to respond to the VP's questions.

You begin by researchinginternational law, international contracts, anintroduction to alternative dispute resolution, andinternational dispute resolution.

Discussion with Colleagues

Now that you’ve gathered and analyzed information on the International LegalChallenges case file, Vice President Dodger would like you to discuss your thoughts with the other members of his special investigations team. He sends you two requirements for this discussion:

First, each participant is to post an initial response to at least two of the five questions noted in the International Legal Challenges file. This should be completed during Week 5 and should meet the following requirements:

  • Include a specific recommendation of what action, if any, the VP should take based on your analysis and conclusions.

  • Support your conclusion with references to legal principles and laws.

  • These posts can be as long or as short as you need in order to effectively make your points.

Second, each participant must provide a substantive response to at least one posting from a colleague in the discussion, critiquing the initial post by appealing to legal and business considerations.

In this report, the legal case of Turnip Plaza Hotel will be discussed in detail.
Case Study
Turnip Plaza Hotel is one of the most renowned luxury hotel holdings of Colossal Corporation, which is located near Lake Huron’s Turnip Rock in an extremely strategical manner. One of the employees of the hotel is Mark Piper. He is a tour guide who has been working at the Turnip Plaza Hotel in Port Austin of Michigan. Over the years, Mark has been able to make a name for himself as well as a good reputation as one of the best tour guides working in Michigan due to his work experience as well as his style and extraordinary skills. Mark Piper was extremely interested in extreme sports and encouraged as well as guided the tourists to take part in extreme kayaking, hiking and camping adventures in the different regions surrounding the Great Lakes.
Mark was approached by the manager of Huron Overnight Inn, the rival hotel of Turnip Plaza and offered a lucrative salary. Edward Griffin, the manager of Turnip Plaza promised a 50% raise and a guaranteed contract for a two-year term to Mark, as a result of which he decided to stay in Turnip Plaza. However, before the fulfillment of the contract Mark was dismissed from the service on the ground of corporate restructuring associated with concerns regarding the increased liability risks of managing extreme sports across the hotels of Colossal.
Legal Aspects
There are a number of legal aspects that are involved in the case study that has been mentioned above. At the very outset, the case study provides an instance of breach of trust and faith, in addition to several other breaches and legal issues. Each of the legal issues will be discussed in a detailed manner.
Contract Law
Contract Law is a particular component of the civil law that is closely associated with the legal principles that are involved in governing the exchange of goods or services between individuals or businesses. According to Mok, Mok and Mok (2021), at the very core of the contract law deals with the process in which legally enforceable promises are formed as well as executed. The crux of the contract law is based on the notion of a promise. According to Capper (2019), two individuals are involved in this interaction, namely, the person who makes the declaration or the promiser and the person who receives the promise or the promisee. According to Encarnacion (2018), a promise can be therefore, defined as a declaration made by the promiser regarding the responsibility to perform or forbear certain specified acts to the recipient or the promisee. Here, according to Constable (2021), the promisee has the right to expect or even demand the completion of the specified act that had been mentioned by the promiser. The contract, however, needs to be valid as well as enforceable.
There are two different kinds of contracts that are involved within the contract law. According to Brockman (2017), one of them is the law involving tangible goods, while the other constitutes of the intangible services. The Uniform Commercial Code is the domestic contract law that deals with tangible goods. The Common Law however, deals with intangible services, such as contract of employment, insurance, real property and so on. In order to make a contract legally enforceable, certain aspects need to be satisfied. At the very outset, according to Swain (2019), an offer is to be made, additionally, there has to be an acceptance of the same offer. In addition to that, it is necessary that there is an exchange of value between both the parties, the promiser and the promisee. The fulfillment of these steps ensure that there has been a confluence of both the minds in the existing contract. It is important to note, that a contract need not be a formal written document, it can also be a verbal agreement.
In the case study that has been discussed above, there is an issue of breach of the contract law. Mark Piper, the employer of Turnip Plaza Hotel, who worked as a reputed tour guide of Michigan, was offered an opportunity of employment as well as lucrative salary by the manager of Huron Overnight Inn, Stacey Nguyen. In order to prevent Mark from leaving the Turnip Plaza Hotel, the manager namely Edward Griffin made a promise to Mark. He promised that, Mark will receive a promotion as well as a significant raise of 50% and a guaranteed contract for a two year term. As a result of this promise from Edward, Mark decided to leave the new job opportunity at Huron Overnight Inn and continue working for Turnip Plaza Hotel. However, prior to the realization of the contract offered by Edward Griffin, Mark was dismissed from the hotel services on the grounds of corporate restructuring.
From the case study it is clear that the manager clearly created a breach of promise or contract with Mark. Edward and Mark were engaged in a bilateral contract with each other. Here, according to Fleiner, Jankó, Tamura and Teytelboym (2018), two promises are involved; Edward promised to give Mark certain specific opportunities in lieu of Mark promising him to leave the job offer at Huron Overnight...
