Imagine you are about to start up a small business. There are a range of decisions you will need to make, for legal reasons, at certain steps of the set-up process. The following questions ask you about several decisions you would usually need to make if you were setting up a real business. While you are encouraged to think of your own idea for a business, and to be a bit creative here, this exercise does not require anything like a complex business plan or any financials. Importantly, the business does not need to be, and in fact should not be, a complex business or a large enterprise for the purposes of this assignment (this will not get more marks). It should however be tasteful / not offensive in nature. This exercise is intended to focus your attention on specific decisions that have a legal aspect, and to explain your reasoning in making those decisions to us in a clear and business-like manner. Do not simply copy the business described below in Part B.
Some suggestions that may be of help (and which you are quite entitled to use as a starting point) include:
• a retail shop (perhaps selling goods that relate to a hobby, sport or pass-time that interests you);
• a restaurant or cafe; • a small business of a type you have some personal experience working in; or • an online business selling consumer goods through a website.

1. A restaurant is a place where people feel relaxed and prefer in times of happiness.
People generally celebrate their birthdays, anniversary, victory with others and for
that restaurant is the best option because many people can gather their and the waiter
will
take and serve the order. They will get well cooked food and don’t have to cook
by themselves which is a tough job. So I am planning to start a new restaurant where
specific types of food will be served like snacks, main course and beverages both
alcohol and non-alcohol. In cuisine’s people have different tastes so I am planning to
open it dealing with different kinds of cuisines like Italian, Thai, Chinese, Indian so
that my restaurant will be liked by all.

3. The reasons why partnership with maximum two or three partners is the best option in
comparison to other type of business structure are:
- In partnership there is a group of persons who have diverse expertise and skills
and are called as partners. Since each partner possesses different skills,
partnership firm can be managed efficiently. (Gibson, A & Fraser, D 2011)
- Partnership is a type of organization where large amount of funds is accumulated
because there is more than one person contributes capital or fund. (Gibson, A &
Fraser, D 2011)
- Partnership carries very less formalities and regulations. Formation of partnership is
an easy task. (Gibson, A & Fraser, D 2011)
- The losses and risk in the business in case of partnership are shared by the partners.
Hence the individual portion of risk of each partner is less if we compare their portion

- Since the partners meet quite frequently, they can arrive at decisions promptly. Thus,
business opportunities requiring quick decision shall not be lost.

product. Registration of name can be done only when trademark officer of the country
considers the name as distinctive. There are various factors which are used to
determine whether the name is distinctive or not and whether trademark should be
