Responding to scandals associated to corporate responsibility has paved way to the development of rule-based laws. The rules are meant to ensure that business organisations train their staff members and appoint officers of governance to ensure adherence to legal and regulatory obligations. Many individuals argue that ‘the primary purpose of the laws governing corporate responsibility is deterrence’. However, this is not the case. Three requirements of the act provide an explanation as to why this is not the case.
Sarbanes-Oxley certification ensures that officers are personally held liable for any documents that they sign. In addition, the CEOs are held liable for the documents which they did not sign. Moreover, the Sarbanes-Oxley certification provision links violators to criminal sanctions. From the three requirements of the certification, it is evident that it does not deter an individual from engaging in fraudulent activities.
