Nightclub is one of the most trending and profitable business. The amount of sale that happens just in one night of operation brings huge profits for the owners. Budding entrepreneurs DJ PHUNKY PHAM and a club promoter KHAN CHAN are both planning to open a nightclub with a joint partnership. While disc
ussing their plan with a former nightclub owner, he emphasised on the potential risks involved in opening and operating a nightclub. Decorte et al. (2017) emphasised that failing to comply the following risks and legal procedures could lead to bankruptcy and subsequently closure of the nightclub.
The first thing that needs to be considered regarding the club is theme of the club and the appropriate location for setup of the club. A proper location, which will be easily accessible for the people who can easily visit the club and, it must be within the city, limits. The location should be at a shopping mall or beside any multiplex. As more number of young crowds gather over there to spend time who are also the potential customers for the club. Apart from the location, the theme must be selected smartly and cautiously. The concept or the theme must be such that the customers like that environment and they become repeated visitors for that club.
The second important thing that needs to be considered is the security of the club. A nightclub is a place where different types of people visit. Therefore, chances are there that there might be some mishaps take place and that may damage the property of the club. To tackle those risks the club owners must employ peoples who will control any kinds of fights or accidents due to human fault to happen. In addition, some legal aspects must be considered beforehand as to tackle any damages that may take place and to overcome loss (ASIC, 2019). Apart from the human aspects, there are few accidents that may take place accidently without any human error like fire, smoke, electrical mishaps and many more.
The next important step that needs to consider is to look after the safety of the club. Regarding the safety part, many things that need to be taken care of such as the electrical parts that are properly installed or not, the installation of gas lines, the availability of first aid, to tackle the accident hazards preparations, and many more. The proper licensing also needs to be done for the fire, liquor, for operating the club and many more.
Moreover, the most important thing that needs to be considered is regarding the financial consideration. The cost of acquiring the land, the construction of the building, the money required for purchasing and set up, the staff’s salaries, their compensations, training and induction cost and many more. Without the proper planning and utilization of the money could bring loss and potential bankruptcy.

According to Ernst (2017), the contract process is an act of humans like the company’s employees or the officers who looks after the entire process. As per the common law, the companies involved in the contract process must have a common seal for affixing the contract accordance with the constitution. Also during the contract, process a person represents on behalf of the company involved in contract to look after the entire contracting process. In the following scenario, the receptionist of the Rainforest Raves Pty Ltd is the representative on behalf of the company to make a contract for toilet paper with the Rainforest-R-Stupid Pty Ltd.
