Background Facts You Need To Know:  The Viral Clean ("Clean") owners are aware of the importance of contracts to both buy and sell goods and services.  They are reviewing the Uniform Commercial Code (UCC), Article 2, that covers contracts for the sales of goods.  
Office Cleaning Pros (Pros), a local company, emailed Clean that it wanted to purchase some cleaning products. 
The email stated the following sales details:  
· Pros wanted to purchase six cases of Carpet Re-New disinfectant and cleaning solution from Clean.
· Price is $200 per case of Carpet Re-New
· Delivery was to be on or before April 1, 2019
· Delivery was to be made to Pros storage warehouse facility
Clean did not respond to the email, but on April 1, Clean delivered six cases of disinfectant and cleaning solution products to Pros office headquarters, located next door to Pros' storage warehouse facility.  Pros moved the cleaning solution products from its headquarters to its storage warehouse facility. 
Three days later, Pros inspected the six cases Clean had delivered and discovered all six cases contained Floor Re-New cleaning solution, not Carpet Re-New as specified in the sales contract.

At the latest Lunch and Learn seminar for TLG consultants, Winnie begins the workshop with a discussion of the case of Warren Medical.
Background Facts:  Warren Medical contracted to purchase five cases of disinfectant from Clean for $100.00 per case.  Clean and Warren Medical signed the written sales agreement, and it included all the necessary terms for a valid and enforceable contract.
Clean timely delivered the disinfectant to Warren Medical.  However, because Warren Medical's employees were busy with other deliveries, they moved the disinfectants to a temporary garage storage facility.  They did not inspect the goods before moving them.  Three weeks later, Warren Medical's employees finally opened the cases and discovered the disinfectants were frozen.  Warren medical wants Clean to replace the goods.
You must begin the discussion by reacting to the following question.

Office Cleaning Pros (Pros) the customer here wants to purchase a cleaning solution from The Viral Clean (Clean)
and therefore the customer sent out an email with all the details about the need but without accepting the contract or giving confirmation to the customer, they delivered the cleaning solution that too a wrong one which was not even asked by the customer. Here, we analyze if the contract was established between the customer and the seller.
1. The email sent out by Office Cleaning Pros (Pros) is legal and can be considered a contract, but because it was not accepted by the seller which is The Viral Clean (UCC 2-206. Offer and Acceptance in Formation of Contract) therefore a contract was not created between Clean and Pros. Every contract to be established must have an acceptance or a written confirmation which is sent out within a reasonable time (UCC 2-207. Additional Terms in Acceptance or Confirmation)
2. Though the contract was not established still because Office Cleaning Pros (Pros) accepted the product they have the specific rights in the case where wrong products are delivered. The buyer has the right to inspect the goods at any reasonable place and time, and in any reasonable manner before paying out the price of the goods delivered (UCC 2-513.
